1. Definitions and Interpretation
For these Terms:
- Platform means all services operated under the Roomy™ brand, including websites, apps, APIs, dashboards, moderation systems, and support interfaces.
- User means any person, entity, or representative using any platform function.
- Listing means a property, mess, or roommate profile published on the platform.
- Request includes request-to-join, invite-to-join, manage-request and related actions.
- Points/Packages include listing points, request points, paid visibility packages, featured/priority placement, and promotional credits.
- Two-Layer Expense System means owner-level and member-level expense handling workflows applicable to co-living, PG, hostel, and mess contexts.
Headings are for convenience only. In case of conflict, module-specific terms and legal notices issued by Roomy™ will prevail.
2. Nature of Platform and Intermediary Role
2.1 Technology Intermediary Status
Roomy™ is a technology platform and intermediary facilitating discovery, communications, requests, and paid promotion services. The platform is not a landlord, tenant, broker, employer, insurer, legal advisor, tax advisor, food safety certifier, or guarantor of user claims unless explicitly contracted in writing.
2.2 No Agency or Fiduciary Relationship
No agency, partnership, fiduciary, or employment relationship is created between Roomy™ and users merely by platform use.
2.3 No Responsibility for User-to-User Conduct
Users are solely responsible for identity, statements, listings, profiles, chats, documents, agreements, payments, and off-platform interactions. Roomy™ is not liable for fraud, misrepresentation, injury, loss, damage, disputes, illegal acts, property condition issues, food quality, or payment defaults among users.
3. Eligibility, Account Creation and Authentication
- You must be legally competent to contract under Indian law.
- Account creation requires accurate and current information.
- Login may require OTP and risk-based verification.
- Email update, phone update, forgot password, and password reset may trigger enhanced checks or temporary restrictions.
- Roomy™ may reject, suspend, or terminate account creation or access without prior notice where risk, policy breach, legal restrictions, or fraud concerns exist.
4. Account Security, Profile Controls and User Obligations
4.1 User Responsibilities
- Maintain confidentiality of credentials, OTP, and devices.
- Immediately report unauthorized access or suspicious activity.
- Keep profile, KYC, contact, and legal details accurate and updated.
- Use profile editing, deactivation, and deletion features in good faith.
4.2 Platform Rights
- Apply automated or manual suspicious-login detection controls.
- Throttle or block accounts/IPs/devices for abuse prevention.
- Preserve account evidence and logs for legal defense and investigations.
- Restrict feature access for unverified or high-risk users.
4.3 Wishlist and Saved Data
Wishlist and saved actions are convenience features only and do not create reservation, entitlement, lock-in, or guaranteed availability rights.
5. Property Module Terms
5.1 Listing Lifecycle
Property listing creation, editing, verification, media uploads, temporary deactivation, reactivation, deletion, and permanent removal are subject to moderation and legal compliance checks.
5.2 Search and Discovery
Property list pages, filters, map search, and location-based visibility are algorithmic outputs and do not represent endorsements. View counts and analytics are indicative only.
5.3 Requests and Tenant Management
- Request-to-join and manage-request actions are user-driven decisions.
- Landlords/listers are responsible for acceptance, rejection, due diligence, and tenant compliance.
- Tenant management functions including remove-tenant and leave-property logs are recorded for audit and dispute defense.
5.4 Property Types, Lister Types, PG/Hostel and Co-Living
Users must classify property and lister types accurately. Incorrect classification may result in demotion, hidden status, suspension, or permanent ban.
5.5 Paid Property Services
Priority, featured, paid listing charges, and request charges are service fees for visibility and platform operations, not guarantees of booking, occupancy, conversion, or outcome.
5.6 Agreements, E-Sign and Legal Documentation
Any property agreement or rent agreement tools are facilitative. Users are solely responsible for stamp duty, registration, legal drafting, enforceability, and local law compliance. Roomy™ is not liable for defective documentation or unenforceable agreements.
5.7 Media and Location Accuracy
Users grant rights under Section 13 for listing media. Users are fully responsible for location pin accuracy, property claims, and legal rights to list the property.
6. Mess Module Terms
6.1 Mess Listing and Governance
Mess listing creation/editing/verification/media uploads/deactivation/deletion are moderated workflows. View counts and analytics are non-guaranteed operational metrics.
6.2 Membership Workflows
- Request-to-join and manage-request decisions are made by authorized mess administrators or owners.
- Member management actions include add/remove, leave mess, mark paid, mark unpaid, and mark past dues.
- Dispute liability for dues, quality, and member conflicts remains with users, not Roomy™.
6.3 Expenses and Two-Layer Expense System
The platform may provide two-layer expense handling for owner-level and member-level accounting. All entries, split logic, utility charges, dues, and settlements are user-managed data. Roomy™ does not guarantee accounting correctness and is not liable for financial disputes.
6.4 Meal Plans and Community Living Rules
Food/menu management and meal plan data are informational and user-submitted. Platform does not certify nutrition, quality, hygiene, legality, or safety of food services unless explicitly stated in a separate written certification product.
6.5 Paid Mess Services
Mess priority, featured slots, listing charges, and package fees are promotional services only. No guaranteed occupancy, retention, payment recovery, or engagement level is promised.
7. Roommate Module Terms
7.1 Roommate Profiles and Preferences
Users may create, edit, verify, deactivate, or delete roommate profiles with preferences such as same-gender-only, lifestyle, smoking/drinking, pets, and language. Users are solely responsible for truthful declarations.
7.2 Matching and Recommendation Limits
Recommendations are algorithmic and indicative. Roomy™ does not guarantee compatibility, safety, conduct, identity authenticity, or living outcomes between matched users.
7.3 Invite and Like Workflows
- Invite-to-join and manage-invite actions are user decisions and do not create legal obligations unless separately contracted.
- Likes and engagement metrics are interaction signals and not endorsements.
7.4 Fake Profile and Misrepresentation Handling
Fake roommate profiles, impersonation, manipulated media, and deceptive claims may lead to immediate suspension, permanent ban, reporting to authorities, and evidence preservation.
8. Chat, Communication and Community Rules
8.1 Supported Chat Types
Platform may support one-to-one chats, property chats, mess chats, roommate chats, neighbourhood chats, community groups, and support chat channels.
8.2 Chat Content Liability
Users are solely responsible for message content, attachments, links, claims, promises, threats, and communications. Roomy™ is not liable for user-generated chat statements.
8.3 Moderation and Enforcement
- Messages may be stored, scanned, moderated, flagged, restricted, or removed for legal compliance and safety.
- Report/block tools are provided; outcomes depend on evidence and policy thresholds.
- Temporary or permanent chat bans may be applied without prior notice.
8.4 Community Module and Neighbourhood Guidelines
- Area-based groups are community spaces, not public governance forums.
- Hate speech, abuse, political/religious provocation, illegal solicitation, misinformation, spam, and harmful promotion are prohibited.
- Roomy™ may delete any community post, comment, media, or group at its sole discretion.
9. Listings, Requests, Points, Packages and Priority Services
- Listing and request actions may consume points, package quotas, or paid credits.
- Listing/request points are operational credits and may expire per package rules.
- Priority services for property, mess, or roommate modules increase discoverability but do not guarantee outcomes.
- Promotional credits may be revoked where fraud, abuse, chargeback, or policy breach is detected.
- Roomy™ may revise package pricing, scope, and validity without creating retroactive liabilities unless mandated by law.
10. Payments, GST, Invoices, Refunds and Cancellations
10.1 Charges and Taxes
All charges may include or exclude taxes as stated at checkout. Applicable GST and statutory taxes will be charged according to law.
10.2 Payment Processing
Payments may be processed through regulated gateways, wallets, UPI, cards, net banking, and partner channels. Failed, delayed, reversed, or pending settlements may occur due to gateway/bank/network constraints.
10.3 Refund and Cancellation
- Refunds, partial refunds, and cancellations are governed by module-specific refund rules and anti-abuse checks.
- Service fees, convenience fees, processing charges, and consumed credits may be non-refundable.
- Chargeback misuse may lead to account restrictions and legal recovery proceedings.
10.4 Invoice and Settlement Disclaimer
Invoice generation confirms transaction recording and does not certify service success, listing quality, legal title, occupancy, or user conduct.
11. Moderation, Verification, Enforcement and Bans
11.1 Verification
Verification processes are risk-reduction steps and not warranties of truth, safety, legality, ownership, or future behavior.
11.2 Enforcement Rights
Roomy™ may edit, hide, reject, suspend, remove, or permanently ban any account, listing, profile, media, chat, group, request, package, or transaction without notice where required for compliance, risk control, legal defense, or policy enforcement.
11.3 Evidence Preservation
Platform may preserve logs, content snapshots, payment records, and metadata for legal, audit, and law-enforcement purposes.
12. Prohibited Activities and Security Misuse
You must not engage in:
- Fake listings, fake profiles, fake messes, impersonation, identity theft, forged documents.
- Harassment, hate speech, abuse, stalking, threats, blackmail, coercion, defamation, doxxing.
- Spam, phishing, social engineering, malware uploads, exploit attempts, brute-force attacks.
- Unauthorized scraping, automation bots, reverse engineering, traffic manipulation, click fraud.
- Off-platform transaction diversion intended to evade platform terms, charges, or safety controls.
- Posting illegal, obscene, sexually exploitative, violent, extremist, or otherwise prohibited content.
Violations may trigger suspension, permanent ban, legal notices, damages claims, and referrals to authorities.
13. User Content, Media Rights and Data Submissions
13.1 Ownership and License
Users retain ownership of original content but grant Roomy™ a worldwide, royalty-free, transferable, sublicensable license to host, use, reproduce, modify, adapt, distribute, display, and process submitted content for platform operations, promotion, moderation, and legal compliance.
13.2 User Warranties
You represent that you hold all rights and permissions for uploaded content and that publication does not violate law, privacy, or third-party rights.
13.3 Takedown and Removal
Roomy™ may remove, mute, blur, watermark, or otherwise restrict content without notice where required by policy, legal risk, IP claims, or moderation standards.
14. Platform Analytics, Maps, Location and Third-Party Data
- Location and map data may rely on third-party providers and may be inaccurate, delayed, or unavailable.
- Users must independently verify addresses, distance, and locality before any commitment.
- Analytics and engagement metrics are indicative and may vary due to fraud controls, data quality, and technical limitations.
- Third-party provider outages, policy changes, throttling, or API limitations are outside platform liability.
15. Suspension, Deactivation, Deletion and Retention
15.1 User-Initiated Deactivation/Deletion
Users may request account or content deactivation/deletion through supported flows. Processing may require identity verification and may be delayed due to legal holds, active disputes, unpaid dues, fraud checks, or statutory retention requirements.
15.2 Platform-Initiated Suspension/Ban
Roomy™ may impose temporary or permanent restrictions for policy or legal non-compliance, safety threats, fraud, abuse, or suspected criminal conduct.
15.3 Data Retention
Operational, financial, moderation, and security records may be retained after deletion/deactivation to satisfy legal obligations, evidence preservation, audit requirements, and rights defense.
16. Disclaimers, Liability Limitation and Indemnity
16.1 As-Is and As-Available Basis
Platform is provided on an as-is and as-available basis without warranties of uninterrupted availability, accuracy, merchantability, fitness, title, legal compliance of user content, or non-infringement.
16.2 Limitation of Liability
To the maximum extent permitted by law, Roomy™, its directors, officers, employees, moderators, affiliates, vendors, licensors, and service providers are not liable for indirect, incidental, consequential, punitive, exemplary, special, or reputational damages, loss of business, loss of opportunity, data loss, personal injury, property damage, user disputes, criminal acts, or off-platform transactions.
Where liability cannot be excluded by law, total aggregate liability shall be limited to the lower of: (a) fees paid by the claimant for specific paid service in dispute during the preceding 3 months, or (b) INR 5,000.
16.3 User Indemnity
You agree to indemnify and hold harmless Roomy™, its management, employees, moderators, affiliates, and vendors against all claims, losses, liabilities, penalties, costs, and legal fees arising from your content, conduct, disputes, legal violations, misuse of platform, or breach of these Terms.
17. Disputes, Governing Law and Jurisdiction
These Terms are governed by laws of India. Users must first attempt good-faith resolution by submitting a written complaint to the Grievance Officer.
If unresolved, disputes shall be subject to exclusive jurisdiction of courts/tribunals having territorial authority over Pune, Maharashtra, unless otherwise mandated by non-derogable law.
18. General Clauses and Contact
18.1 Force Majeure
Roomy™ is not liable for delay or failure caused by events beyond reasonable control, including natural disasters, cyber attacks, network outages, war, civil unrest, government action, vendor failure, strikes, epidemics, or force majeure conditions.
18.2 Severability and Waiver
If any provision is invalid, remaining provisions remain enforceable. Failure to enforce any right does not constitute waiver.
18.3 Assignment
Roomy™ may assign rights and obligations under these Terms to affiliates, successors, or acquirers. Users may not assign rights without written consent.
